1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Spendzo.AI platform (“Platform”, “Service”, “we”, “us”, “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Nature of the Service

Spendzo.AI is a software-as-a-service platform that provides analysis of company expenses, including invoices, subscriptions, vendor payments, and related financial data. The Platform utilizes artificial intelligence models to generate insights and recommendations intended to assist users in identifying inefficiencies and optimizing spend.

All outputs generated by the Platform are advisory in nature. Spendzo.AI does not provide financial, legal, or investment advice, and does not execute or automate financial decisions on behalf of users.

3. Eligibility and Authority

By using the Platform, you represent and warrant that you have the legal capacity to enter into these Terms and that you are authorized to upload, process, and use any data submitted to the Platform. You further represent that your use of the Platform complies with all applicable laws and regulations.

4. Account Registration and Security

Access to certain features of the Platform may require the creation of an account. You agree to provide accurate and complete information during registration and to maintain the confidentiality of your account credentials. You are responsible for all activities conducted under your account.

Spendzo.AI shall not be liable for any loss or damage arising from unauthorized use of your account.

5. Free Trial and Subscription

Spendzo.AI may offer a thirty (30) day free trial period, during which users may access the Platform without charge. Upon expiration of the trial period, continued access to the Platform may require a paid subscription.

Pricing is determined on a customized basis and provided upon request. Spendzo.AI reserves the right to modify pricing, introduce new charges, or discontinue services at its discretion. Failure to enter into a paid subscription after the trial period may result in suspension or restriction of access.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful or fraudulent purpose
• Upload data that you do not have the legal right to use
• Attempt to reverse engineer, decompile, or interfere with the Platform
• Introduce malicious code, disrupt services, or attempt unauthorized access

Spendzo.AI reserves the right to suspend or terminate access in the event of any violation of these Terms.

7. Data Processing and AI Usage

By submitting data to the Platform, you grant Spendzo.AI the right to process such data for the purpose of providing the Service.

The Platform utilizes artificial intelligence models, which may include third-party providers, to analyze data and generate insights. By using the Platform, you acknowledge and consent to:

• The processing of your data by AI models
• The potential involvement of third-party AI service providers
• The application of such providers' respective policies and compliance frameworks

Spendzo.AI reserves the right to update, modify, or replace AI models and providers at any time without prior notice.

8. Intellectual Property

All intellectual property rights in and to the Platform, including software, design, content, and underlying technology, are owned by or licensed to Spendzo.AI. These Terms do not grant you any ownership rights in the Platform.

You retain ownership of the data you upload, subject to the rights granted to Spendzo.AI for processing and analysis.

9. Marketing and Brand Usage

By using the Platform, you grant Spendzo.AI a limited, non-exclusive, royalty-free license to use your company name and logo for marketing and promotional purposes, including on websites, presentations, and other materials.

You may withdraw this consent at any time by contacting support@spendzo.ai.

10. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. Spendzo.AI makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of the Platform or its outputs.

All recommendations and insights are provided for informational purposes only and should not be relied upon as definitive financial advice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Spendzo.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Platform.

In no event shall Spendzo.AI's total liability exceed the amount paid by you for the Service, if any.

12. Indemnification

You agree to indemnify and hold harmless Spendzo.AI, its affiliates, and its personnel from any claims, damages, liabilities, or expenses arising out of your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Suspension and Termination

Spendzo.AI reserves the right to suspend or terminate your access to the Platform at its discretion, including in cases of violation of these Terms or misuse of the Service.

14. Modifications

Spendzo.AI may revise these Terms from time to time. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of UAE. Any disputes arising in connection with these Terms shall be subject to the jurisdiction of the courts of UAE.
